Crowell Advises Blueberry Entertainment on Seed Financing

A cross-practice Crowell team represented Blueberry Entertainment, Inc. (dba House of Blueberry) in its $6 million Seed-2 financing. Blueberry operates a digital fashion house based in Wake Forest, North Carolina. The company provides digital wearables that generate community building and brand outreach on online platforms, or metaverses as they are now known. The company offers unique fashion for avatars on gaming and community platforms such as Second Life, Roblox and The Sims. The company boasts a team of nearly 20 employees, led by the CEO and founder Gizem Mishi McDuff. According to The Business Journals, McDuff gained inspiration to be a digital fashion designer after attending a virtual concert on Second Life.

In addition to the ECVC team of Jon O’Connell, Justin Lurie, Justin Porter and Nate Gagnon, the transaction was also supported by Preetha Chakrabarti and Anna Saber on intellectual property, Caroline Brown on CFIUS, Charles Hwang on tax, and Jana del-Cerro and Nimrah Najeeb on international trade.  The transaction serves as the latest in a string of matters Crowell has handled dealing with various aspects of business in the metaverse.
